Project Description

The Office of Financial Management (“OFM”) of the Finance and Administration Cabinet of the Commonwealth of Kentucky (the “Cabinet”), on behalf of the Kentucky Public State Universities, is inviting proposals from prequalified firms to provide bond counsel services to the Universities. The engagement period will be for the fiscal year beginning July 1, 2024 and ending June 30, 2025 (“FY 2025”) with an option to renew on the same terms and conditions for one additional fiscal year at the discretion of OFM and the Universities.

The firm engaged to perform bond counsel services will be working with the Universities, OFM and a financial advisory firm. The firm selected to perform bond counsel services will be responsible for duties which include but are not limited to: providing legal opinions and advice related to debt structuring, drafting and producing the preliminary and final official statements, legal activities during the bond sale, closing of the securities, tax issues including arbitrage regulation compliance, consulting with the issuer, the trustee, and the Commonwealth on all bond-related items
including the IRS questionnaires, providing information as requested to the rating agencies and bond insurers, all applicable posting of notices and advertising relating to the bond issuance; bond certificates; drafting and circulating required issuance documents for approval; coordinating the closing of all issues (including prior bonds); and reviewing any investment agreements related to reserve fund deposits.

Questions & Clarifications

The State University RFP has a 55-page limit, but requests a copy of a recent state university Preliminary Official Statement. Will the same POS count towards the page limit or would you prefer us to include an FTP link where a sample can be downloaded by the Committee for review?
