Project Description

The firm engaged to perform bond counsel services to the Universities will work closely with OFM and a financial advisory firm selected through a similar process. KRS 42.420 requires state universities to submit all proposed debt financings to OFM for review and approval prior to issuance. OFM is active in this role and serves as an additional financial advisor to the universities. All debt issuances will be completed pursuant to KRS 424.360 regarding competitive public sales. The engagement will include legal services for all new transactions, bond refinancings, and other issuance-related financial
transactions, to include advice and assistance relating to any bond anticipation note program(s), debt service and other reserve funds. Such funds may be invested in Forward Purchase Agreements, Guaranteed Investment Contracts or other related agreements that will require review and possibly opinions included in the proposed fee.

The selected firm, if engaged to perform bond counsel services for the state universities, will be responsible for duties that include, but are not limited to, one or several of the following activities:
1. Providing legal opinions and advice related to debt structuring.
2. Drafting and producing the preliminary and final official statements.
3. The sale and closing of the securities.
4. Tax issues including arbitrage regulation compliance.
5. Consulting with the issuer, the trustee, and the Commonwealth on all bond-related items including the IRS questionnaires.
6. Providing information as requested to the rating agencies and insurers.
7. All applicable posting of notices and advertising relating to the bond issuance; overseeing the printing of bond certificates; drafting and circulating required issuance documents for approval; coordinating the closing of all issues (including work related to prior bonds); and reviewing any investment agreements related to debt service reserve fund deposits.
